3.5 The Customer cannot derive any rights from the advice and information of DSV beyond the scope of the Agreement. 3.6 Unless expressly stated otherwise, installation, service, inspection, transport costs, etc., as well as the costs of getting ready for use and sales tax, customs and excise duties are not included in the price. The prices are calculated for delivery “ex works”. In case of delivery elsewhere than DSV ’s premises upon the request of the Customer, the respective additional costs will be borne by the Customer. 3.7 If a failure to comply or comply sufficiently with the provisions in this Article leads to additional work or costs, these will be charged as such to the Customer. In case the Vehicle cannot be worked on due to a failure to comply, DSV will not commence any repair work and the Vehicle will be stored at the Customer ’s risk and expense. DSV will notify the Customer hereof in writing in a timely manner. This is without prejudice to the Customer ’s payment obligations. 3.8 The Customer may require a detailed statement of the price of the Services and Products, as well as the term within the Services and Products will be carried out, before approving the order form. The specified prices and terms on order forms and the like are approximate. If the stated price is exceeded or likely to be exceeded by more than 20 %, DSV will contact the Customer to discuss such additional costs. In that case, the Customer is entitled to terminate the Agreement while paying the costs of the already carried out Services by DSV. If the Customer agrees to the additional costs, the changes in the price must be agreed in writing (email correspondence is sufficient). In case of exceeding or threatened exceeding of the agreed specified but unbinding term, DSV will inform the Customer in writing (via email) thereof in a timely manner, stating a new date of delivery. 3.9 Unless explicitly agreed otherwise, DSV has authority to engage third parties in the performance of the Agreement or to have third parties perform all or part of the Agreement. Article 4 − Damage Appraisal 4.1 If DSV has carried out an appraisal requiring inspection on the Vehicle for more than 15 (fifteen) minutes by one of its qualified personnel, DSV will charge the costs of such inspection to the Customer at a minimum of EUR 150 excluding VAT. Article 5 − Payment 5.1 Unless otherwise agreed, all prices are expressed in euros (EUR) and exclude VAT, customs and excise duties. Payment must be made in cash to DSV ’s bank account determined by DSV upon (i) the issuance of the invoice as well as delivery of the item or (ii) immediately after the performance of the Services. 5.2 For purchases or orders on account, payment must be made on the agreed date or the date specified in the invoice. If no date has been agreed or specified payment must be received no later than eight (8) days after the date of the invoice. 5.3 DSV is entitled at any time to request an advance payment or down payment for the Services and/or Products to be supplied and/or to demand security for payment thereof. The Customer is obliged to comply with any such request. 5.4 DSV will have a right of retention on the vehicle and all other goods DSV holds towards the Customer and anyone else requesting delivery thereof in respect of all claims DSV has or may at any time have against the Customer. 5.5 The Customer owes storage costs calculated in accordance with the provisions of Article 9.2, as long as DSV keep vehicles under this Article. 5.6 If the Customer does not pay an invoice of DSV on time and in full, it will be deemed to be in default by operation of law and all sums due to DSV will become immediately payable without further default notice. The Customer will also be due to pay interest equivalent to the statutory commercial interest rate pursuant to Danish law.
