1 DSV - Statutory Report on Corporate Governance - 2022 BASIS OF PREPARATION BASIS OF PREPARATION This statutory report on corporate governance is prepared in accordance with section 107b of the Danish Financial Statements Act covering the period 1 January – 31 December 2022. The report forms part of Managements Commentary of the 2022 DSV Annual Report available at investor.dsv.com. The report includes a description of DSV’s management structure and a description of the controls and management systems applied as basis for preparing external financial reporting such as the Quarterly, Half year and Annual Report of the company. In addition, the report includes a description of the corporate governance codex applied in managing the company and how DSV complies with this codex. This report is not covered by the auditors’ report provided on the 2022 DSV Annual Report. MANAGEMENT STRUCTURE Together, the Board of Directors and the Executive Board forms the governing body of DSV. The ultimate authority rests with the shareholders in general meeting. The Board of Directors supervises and outlines the overall visions, strategies and objectives of the Group’s business activities. The Executive Board is responsible for executing on the strategies and objectives set, the overall day-to-day management of the Group, and furthermore contributes with essential input to the work of the Board of The Board of Directors has established audit, nomination and remuneration committees to perform various preparatory tasks relating to key areas of the Board’s responsibilities. The allocation of responsibilities between the Board of Directors and the Executive Board is defined by the Rules of Procedure.
